derivative complaint, titled Barovic v. Fairbank, et al., Case No. 2012 14130, was filed by another putative
stockholder on behalf of the Company also in the Virginia Circuit Court. The Barovic derivative complaint is
substantially identical to the Iron Workers’ Action (collectively “Derivative Actions”). The defendants removed
the Iron Workers Action from Virginia Circuit Court to the U. S. District Court for the Eastern District of
Virginia and filed a motion to dismiss the complaints. The plaintiffs moved to remand the cases back to Virginia
Circuit Court. On November 30, 2012, the court denied the motions to remand and took the motions to dismiss
under advisement.
Other Pending and Threatened Litigation
In addition, we are commonly subject to various pending and threatened legal actions relating to the conduct of
our normal business activities. In the opinion of management, the ultimate aggregate liability, if any, arising out
of all such other pending or threatened legal actions will not be material to our consolidated financial position or
our results of operations.
