1. Definitions. Terms defined in The PNC Financial Services Group, Inc. and Affiliates
Deferred Compensation Plan, as amended from time to time (“Plan”), are used in this Restricted Award
Deferral Account Agreement (“Agreement”) as defined in the Plan unless otherwise defined in Annex A
(attached hereto and incorporated herein by reference) or elsewhere in the Agreement.
2. 200__ Restricted Award Deferral Account. Subject to the terms and conditions of the
Agreement, The PNC Financial Services Group, Inc. (“PNC”) has, in connection with the Corporation’ s
Annual 25/25 Program, granted to the Participant named above (“Participant”) a restricted incentive award
for 200__ (“Award”), denominated in shares of PNC common stock in the amount set forth above under
“Deferred Shares,” payment of which, in accordance with Participant’ s prior Deferral Election, has been
deferred under the Plan, subject to the terms and conditions of the Agreement.
Upon acceptance of the Award and the terms and conditions of the deferral of such Award under
the Plan and the Agreement in accordance with Section 17, a separate subaccount of Participant’ s Plan
Account (“200__ Restricted Award Deferral Account”) will be established for Participant under the Plan to
reflect the deferral of such Award. The Deferral Amounts credited to such subaccount will be deemed to
be invested in the phantom PNC Common Stock Fund, such that the initial balance of the 200__ Restricted
Award Deferral Account will be a number of units of phantom PNC common stock (“Deferred Share
Units”) equal to the number of Deferred Shares set forth above. Except as otherwise provided in the
Agreement, the 200__ Restricted Award Deferral Account will be treated in the same manner and will be
subject to the same terms and conditions as a subaccount established under the Plan for Participant for
200__ cash incentive award deferrals.
