23. Form of Distributions (at Termination of Employment or Death). Distributions will be made to Participants upon Termination of Employment with

Participant meets the following criteria:
xTermination or Death at or after age 53 with at least 5 Vesting Years of Service.

service), or years of participation in the Plan (must be whole years of participation)]
¨Termination (other than for Misconduct, Cause or Violation of Non-Compete)
¨Lump sum unless installments elected, and Participant may receive installments regardless of reason for Termination of Employment.

24. Distribution Upon Disability. If the Employer selects below, the Plan will allow dis- tributions to be made to Participants upon Disability but while
they are still employed if they meet the criteria for Disability in Item 30 below. The form of distribution will be the same as for Termination of
Employment.
