12.5 Entire Agreement. This Agreement contains the entire agreement of the parties with respect to the subject matter hereof. All understanding and
agreements (whether written or oral, including an oral offer of employment or written offer letter) heretofore made between the parties hereto with respect to
the subject matter of this Agreement are superseded by this Agreement and this Agreement alone fully and completely expresses all agreements between the
parties related to the subject matter. This Agreement may not be changed orally but only by an amendment in writing signed by both parties. Upon execution
of this Agreement, the Executive hereby waives any rights and claims he may have under any prior understandings and/or agreements related to his
employment (other than those preserved by Section 10.1 hereof), including but not limited to any rejection damage claims provided under 11 U.S.C.
Section 365.
12.6 Survival of Provisions. The provisions of Article IX — Restrictive Covenants shall survive termination of this Agreement.
12.7 Captions. The captions appearing in this Agreement are inserted only as a matter of convenience and in no way define, limit, construe or describe the
scope or intent of any provisions of this Agreement or in any way affect this Agreement.
