based on the 51% performance factor. All awards represented in this column were valued using a stock price equal to the closing price on the
vesting date. This column also includes the value of dividends earned on vested and unvested restricted stock units including deferred units
disclosed in the Non-Qualified Deferred Compensation Table.
(3) The amounts reported for Mr. Perez include 1,454 shares with a value of $34,931 representing vested in-kind dividends earned and deferred
on vested and unvested RSUs, and 25,000 shares with a value of $560,000 related to RSUs that have vested in 2006, which have also been
deferred. These deferrals were allowed under prior equity programs, and the terms of the deferrals are discussed on page 62 of this Proxy
Statement.
