Q. Why am I receiving these proxy materials?
A. Our Board of Directors (the Board) is providing these proxy materials to you on the internet, or has delivered printed versions to
you by mail in connection with Kodak’s 2009 Annual Meeting of Shareholders (the Annual Meeting), which will take place on
Wednesday, May 13, 2009. As a shareholder of record, you are invited to attend the Annual Meeting and are entitled and
requested to vote on the items of business described in this Proxy Statement. The approximate date on which these proxy
materials are being made available to you is April 2, 2009.
Q. What is included in these proxy materials?
A. These proxy materials include:
Our 2008 Annual Report on Form 10-K; and
Notice of 2009 Annual Meeting and Proxy Statement.
If you received printed versions of the proxy materials by mail, these proxy materials also include the Proxy Card for the Annual
Meeting.
Q. What am I voting on?
A. The Board is soliciting your proxy in connection with the Annual Meeting to be held on Wednesday, May 13, 2009 at 9:00 a.m.,
local time, at the Embassy Suites Hotel Walnut Creek, and any adjournment or postponement thereof. You are voting on the
following proposals:
1. Election of directors for a term of one year or until their successors are duly elected and qualified.
2. Ratification of the Audit Committee’s selection of PricewaterhouseCoopers LLP as our independent registered public
accounting firm.
Q. What are the voting recommendations of the Board?
A. The Board recommends the following votes:
FOR each of the director nominees.
FOR ratification of the Audit Committee’s selection of PricewaterhouseCoopers LLP as our independent registered public
accounting firm.
Q. Why did I receive a one-page notice in the mail regarding the internet availability of proxy materials this year
instead of a full set of proxy materials?
A. This year, we are pleased to be again using the Securities and Exchange Commission (SEC) “e-proxy” rules. These rules allow
companies to furnish proxy materials to shareholders over the internet. The “e-proxy” rules remove the requirement for public
companies to automatically send shareholders a full, printed copy of proxy materials and allow them instead to deliver to their
shareholders a “Notice of Internet Availability of Proxy Materials” and to provide online access to the documents. As a result, we
mailed to many of our shareholders a “Notice of Internet Availability of Proxy Materials” (the Notice) on or about April 2, 2009.
The Notice provides instructions on how to:
View our proxy materials for the Annual Meeting on the internet; and
Request a printed copy of the proxy materials.
In addition, shareholders may request to receive proxy materials in printed form by mail or electronically by e-mail on an ongoing
basis. Choosing to receive your future proxy materials by e-mail will save us the cost of printing and mailing documents to you
and will reduce the environmental impact of printed materials.
Q. Why didn’t I receive a notice in the mail about the internet availability of the proxy materials?
A. We are providing some of our shareholders, including those who have previously requested to receive paper copies of the proxy
materials, with paper copies of the proxy materials instead of the Notice.
In addition, we are providing the Notice by e-mail to those shareholders who have previously elected delivery of the proxy
materials electronically. Those shareholders should have received an e-mail containing a link to the website where materials are
available.
