Internet Availability of Proxy Materials and Annual Report
This proxy statement and our 2011 Annual Report are also available on our website at
www.pricelineannualreport.com. In accordance with the rules of the Securities and Exchange Commission, we
may deliver proxy materials for our 2012 Annual Meeting of Stockholders to you electronically, unless you
specifically request a paper copy. Should we decide to deliver proxy materials electronically, before our 2012
Annual Meeting of Stockholders, you will receive a notice in the mail which explains how to access the proxy
materials over the Internet and also how to request a paper copy of the materials if you so choose.
Solicitation
We will pay for the entire cost of proxy solicitations, including preparation, assembly, printing and
mailing of proxy solicitation materials. We will provide copies of solicitation materials to banks, brokerage
houses, fiduciaries and custodians holding in their names shares of priceline.com common stock beneficially
owned by others to forward these materials to the beneficial owners of common stock. We may reimburse
persons representing beneficial owners of common stock for their costs of forwarding solicitation materials.
Directors, officers or other regular employees of ours may also solicit proxies by telephone, telegram or in-
person. We will not additionally compensate directors, officers or other regular employees for these services.
We have retained Phoenix Advisory Partners, 110 Wall Street, New York, New York 10005 to aid in the
solicitation of proxies from brokers, banks, nominees and other institutional holders. A fee of $8,500 plus
expenses will be paid to Phoenix Advisory Partners for these services.
How to Attend the Annual Meeting
If you plan to attend the meeting, in accordance with our security procedures, you will be asked to
present a picture identification to enter the meeting. Directions to the meeting can be found at the end of the
proxy statement.
