the performance period commenced on January 1, 2008 and ended on December 31, 2010 (all of which
shares vested in March 2011). Also includes 19,358 shares for which the performance period is the six
months preceding the March 2012 vesting date and 36,576 shares for which the performance period
commenced on January 1, 2010 and ends on December 31, 2012. Mr. Mylod forfeited all such unvested
shares upon his retirement from the Company on March 31, 2011.
(5) Represents RSUs, of which 30,100 shares vested in March 2011, 4,900 shares are scheduled to vest in

(6) Represents the estimated probable number of shares of priceline.com common stock that will be issued at
the end of the performance period in connection with the PSUs. Includes 60,000 shares for which the
performance period commenced on January 1, 2008 and ended on December 31, 2010 (all of which shares
vested in March 2011), 22,423 shares for which the performance period commenced on January 1, 2008 and
ended on December 31, 2010 (all of which shares vested in March 2011), and 36,288 shares for which the
performance period commenced on January 1, 2010 and ends on December 31, 2012 (unless there is a
termination without “cause,” death or disability, in which case the issuance of shares underlying the PSUs
may be accelerated). With respect to the 36,288 shares for which the performance period commenced on
January 1, 2010 and ends on December 31, 2012, the actual number of shares to be issued, if any, has not
been determined and will be determined based on the relevant performance criteria over the three-year
performance period.
(7) Represents the estimated probable number of shares of priceline.com common stock that will be issued at
the end of the performance period in connection with the PSUs. Includes 10,196 shares for which the
performance period commenced on January 1, 2008 and ended on December 31, 2010 (all of which shares
vested in March 2011), and 10,178 shares for which the performance period commenced on January 1, 2010
and ends on December 31, 2012 (unless there is a termination without “cause,” death or disability, in which
case the issuance of shares underlying the PSUs may be accelerated). With respect to the 10,178 shares for
which the performance period commenced on January 1, 2010 and ends on December 31, 2012, the actual
number of shares to be issued, if any, has not been determined and will be determined based on the relevant
performance criteria over the three-year performance period.
