PROPOSAL 2
Ratification of Selection of Independent Registered Public Accounting Firm
We have selected Deloitte & Touche LLP as our independent registered public accounting firm for
the fiscal year ending December 31, 2011. We are submitting our selection of independent registered public
accounting firm for ratification by the stockholders at the Annual Meeting. Deloitte & Touche LLP has audited
our financial statements since July 1997. We expect that representatives of Deloitte & Touche LLP will be
present at the Annual Meeting, will have an opportunity to make a statement if they wish and will be available to
respond to appropriate questions.
The Company’s Bylaws do not require that the stockholders ratify the selection of our independent
registered public accounting firm. However, we are submitting the selection of Deloitte & Touche LLP to the
stockholders for ratification as a matter of good corporate practice. If the stockholders do not ratify the selection,
the Board of Directors and the Audit Committee will reconsider whether or not to retain Deloitte & Touche LLP.
Even if the selection is ratified, the Board of Directors and the Audit Committee in their discretion may change
the appointment at any time during the year, if they determine that such a change would be in the best interests of
the Company and its stockholders.
With respect to Proposal 2, the ratification of the selection of Deloitte & Touche LLP to act as the
Company’s independent auditors requires approval by a majority of the total number of shares present and
entitled to vote on the matter. With respect to Proposal 2, abstentions and broker non-votes, if any, will have the
same effect as a vote against the matter. The Board of Directors recommends a vote FOR Proposal 2.
