Compensation Committee Interlocks and Insider Participation
As noted above, the Compensation Committee is comprised of three non-employee directors: Messrs.
Epstein, Guyette and Rydin. No member of the Compensation Committee is or was formerly an officer or an
employee of the Company or had any disclosable related person transaction in which the Company was a
participant during the last fiscal year. In addition, no executive officer of the Company serves on the
compensation committee or board of directors of a company for which any of the Company’s directors serves as
an executive officer.
