To the Stockholders of priceline.com Incorporated:
We hereby notify you that the Annual Meeting of Stockholders of priceline.com Incorporated (the
“Company”) will be held on Thursday, June 2, 2011 at 9:00 a.m. local time at the Hyatt Regency Greenwich,
1800 E. Putnam Avenue, Old Greenwich, Connecticut 06870 for the following purposes:
x To elect eight Directors to hold office until the next annual meeting of stockholders or until their
respective successors are elected and qualified.
x To ratify the selection of Deloitte & Touche LLP as independent registered public accounting firm of
the Company for our fiscal year ending December 31, 2011.
x To cast a non-binding advisory vote on the compensation paid by the Company to our named executive
officers.
x To cast a non-binding advisory vote on the frequency of casting future votes on the compensation paid
by the Company to our named executive officers.
x To consider and vote upon a stockholder proposal on stockholder action by written consent.
x To transact such other business as may properly come before the meeting or any adjournment or
postponement of the meeting.
These business items are more fully described in the Proxy Statement accompanying this Notice.
The Board of Directors has fixed the close of business on April 14, 2011 as the record date for
identifying those stockholders entitled to notice of, and to vote at, this Annual Meeting and at any adjournment
or postponement of this meeting.
