Note 1: The Group had ceased control over these entities effective June 1, 2010.
Note 2: The Group consolidates the portion of the joint venture owned by the Group in
the consolidated financial statements.
Note 3: The Group had no control or lost control over these entities.
Note 4: BOARDTEK HOLDING LTD. (CAYMAN), BOARDTEK HOLDINGS
LIMITED and BOARDTEK (H.K.) TRADING LIMITED changed its name to
PIOTEK HOLDINGS (CAYMAN), PIOTEK HOLDINGS LIMITED and
PIOTEK (H.K.) TRADING LIMITED, respectively.
A. On June 1, 2010, the Company transferred further its OEM assets and business (the
Company’s long-term equity investment in PEGATRON) to the Companys another
investee, Pegatron International Investment Co., Ltd. (PEGATRON INVESTMENT).
The Company had discontinued consolidating the accounts of PEGATRON and its
subsidiaries since it lost control over these subsidiaries. PEGATRON and its
subsidiaries’ profit and loss before losing control were consolidated proportionally
based on their latest audited or reviewed financial statements.
B. The disclosure information of the transactions with subsidiaries disclosed below had
been eliminated when preparing consolidated financial statements.
(3) Subsidiaries not included in the consolidated financial statements: None.
(4) Adjustments for subsidiaries with different balance sheet dates: None.
(5) Special operating risks in foreign subsidiaries: None.
(6) Nature and extent of the restrictions on fund remittance from subsidiaries to the parent
company: None.
(7) Contents of subsidiaries’ securities issued by the parent company: None.
(8) Information on convertible bonds and common stock issued by subsidiaries: The issuance
of convertible bonds and new common stock by subsidiaries had no significant effects on
stockholders’ equity of the parent company.
2) Foreign currency transactions and translation of financial statements in foreign currencies
(1) Transactions involving non-derivative financial instruments denominated in foreign
currencies are recorded in New Taiwan dollars at the rates of exchange in effect when the
transactions occurred. Translation gains or losses arising from the settlement of assets and
liabilities denominated in foreign currencies are included in profit or loss in the year of
actual settlement.
