If elected, we expect that all of the aforementioned nominees will serve as directors and hold office
until the 2011 Annual Meeting of Shareholders and until their respective successors have been elected and
qualified. Based on the recommendation of the Nominating and Governance Committee, all of the
aforementioned nominees are standing for reelection.

YOU VOTE FOR THE ELECTION OF THESE NOMINEES.
What if a nominee is unwilling or unable to serve?
That is not expected to occur. If it does, proxies may be voted for a substitute nominated by the Board
of Directors.
What vote is required to elect directors?
A nominee will be elected as a director if the number of ‘‘FOR’’ votes exceeds the number of
‘‘AGAINST’’ votes.
