by the Company. In 2003, the Committee, the Board of Directors, and our shareholders approved the Key Employee Bonus Plan. The Key Employee Bonus
Plan establishes performance criteria that are intended to qualify awards made under the Key Employee Bonus Plan to the named executive officers as
performance-based awards. However, the Committee believes that in some instances it may be necessary to forsake a tax deduction in order to continue to
attract and retain qualified executives.
