(c) Mr. Perez has 94,796 stock units and Mr. Berman has 3,476 stock units that they each elected to defer under the 2000 Long-
Term Omnibus Plan. These stock units are not included in this table because they do not carry voting rights and may not be
redeemed as shares of common stock within 6 months of Mr. Perez’s and Mr. Berman’s departures from the Company.

(e) Each individual Section 16 Executive Officer and director listed beneficially owned less than 1% of the outstanding shares of
the Company’s common stock. As a group, all Section 16 Executive Officers and directors owned 1.6205% of the outstanding
shares of the Company’s common stock.
Share Ownership Program
In order to closely align the interests of our executives with those of our shareholders, the Company strongly encourages executives to
acquire a significant ownership stake in Company stock. Effective February 26, 2008, our share ownership program was revised to require
our Section 16 Executive Officers to retain 100% of shares attributable to stock option exercises or the vesting or earn-out of full value
shares (such as restricted shares or Leadership Stock) until they attain specified ownership levels, which are expressed as a multiple of
base salary. The guidelines are further discussed on page 57 of this Proxy Statement in the Compensation Discussion and Analysis.
