The SEC allows us to deliver a single proxy statement and annual
report or Notice to an address shared by two or more of our
stockholders. This delivery method, referred to as “householding,”
can result in signifi cant cost savings for us. In order to take
advantage of this opportunity, the Company and banks and
brokerage fi rms that hold your shares have delivered only one proxy
statement and annual report or Notice to multiple stockholders
who share an address unless one or more of the stockholders
has provided contrary instructions. The Company will deliver
promptly, upon written or oral request, a separate copy of the
proxy statement and annual report or Notice to any stockholder
at a shared address to which a single copy of the documents was
delivered. A stockholder who wishes to receive a separate copy
of the proxy statement and annual report or Notice, now or in the
future, may obtain one, without charge, by addressing a request to

StarPoint, Stamford, Connecticut 06902 or by calling (203)351-
3500. You may also obtain a copy of the proxy statement and
annual report from the investor relations page on the Company’s

html ). Stockholders of record sharing an address who are receiving
multiple copies of proxy materials and annual reports or Notices
and wish to receive a single copy of such materials in the future
should submit their request by contacting us in the same manner.
If you are the benefi cial owner, but not the record holder, of the
shares and wish to receive only one copy of the proxy statement
and annual report or Notice in the future, you will need to contact
your broker, bank or other nominee to request that only a single
copy of each document be mailed to all stockholders at the shared
address in the future.
STOCKHOLDER PROPOSALS FOR NEXT
ANNUALMEETING
If you want to make a proposal for consideration at next year’s annual
meeting and have it included in the Company’s proxy materials,
the Company must receive your proposal by December19, 2013
and the proposal must comply with the rules of the SEC.
If you want to make a proposal or nominate a director for
consideration at next year’s annual meeting without having the
proposal included in the Company’s proxy materials, you must
comply with the then current advance notice provisions and other
requirements set forth in the Company’s Bylaws, including that
the Company must receive your proposal on or after February19,
2014 and on or prior to March16, 2014, with certain exceptions if
the date of next year’s annual meeting is advanced by more than
30days or delayed by more than 60days from the anniversary
date of the 2013 Annual Meeting.
If the Company does not receive your proposal or nomination by
the appropriate deadline and in accordance with the terms of the
Company’s Bylaws, then it may not properly be brought before
the 2014 Annual Meeting of Stockholders.
The fact that the Company may not insist upon compliance with
these requirements should not be construed as a waiver by the
Company of its right to do so at any time in the future.
