CONFIRMATION OF THE STATUTORY AUDITOR
To the Annual General Meeting of Shareholders
As statutory auditor, we have audited the Board of Directors’ proposal to distribute an ordinary
cash dividend from the company’s contributed surplus (the ‘‘dividend’’) of Tyco International Ltd. to
the Annual General Meeting of Shareholders to be held on March 9, 2011.
Compliance with Swiss law and the Company’s articles of incorporation is the responsibility of the
Board of Directors. Our responsibility is to express an opinion on the proposed dividend based on our
audit. We confirm that we meet the licensing and independence requirements as stipulated by Swiss
law.
Our audit was conducted in accordance with Swiss Auditing Standards, which require that an audit
be planned and performed to obtain reasonable assurance about the proposed distribution of a
dividend being free from material violations of the statutory requirements. We have performed the
audit procedures considered appropriate to the circumstances. We believe that our audit provides a
reasonable basis for our opinion.
In our opinion, the proposed dividend complies with Swiss law and the Company’s articles of
incorporation.
