Baltimore City Franchise Taxes
TheCityofBaltimore claims that BGE hasmaintainedelectric facilitiesintheCity’s public right-of-ways for over one hundredyears
without the proper franchiserightsfromtheCity. BGE is currentlyreviewingthemeritsofthis claim. BGE hasnot recordedan
accrual for payment offranchisefeesfor past periods asa rangeofloss, if any, cannot be reasonablyestimatedat this
time.Franchisefeesassessedinfuture periods maybematerial to BGE’s resultsofoperationsandcash flows.
General
Exelon is involvedinvariousother litigation mattersthat are beingdefendedandhandledintheordinarycourseofbusiness. The
assessment ofwhether a loss is probable or a reasonable possibility, andwhether theloss or a rangeofloss is estimable,often
involvesaseriesofcomplexjudgmentsabout future events. Exelon maintainsaccrualsfor such lossesthat are probable ofbeing
incurredandsubject to reasonable estimation.Management is sometimesunable to estimate an amount or rangeofreasonably
possible loss, particularlywhere (1)thedamagessought are indeterminate,(2)the proceedings are inthe earlystages, or (3)the
mattersinvolvenovel or unsettledlegal theories. Insuch cases, there is considerable uncertaintyregardingthetimingor ultimate
resolution ofsuch matters, includingapossible eventual loss.
