ITEM 9A. CONTROLS AND PROCEDURES
a. Disclosure Controls and Procedures.
In accordance with Exchange Act Rules 13a-15 and 15d-15, we carried out an evaluation as of July 29, 2006, under the
supervision and with the participation of our Chief Executive Officer and Chief Financial Officer, as well as other key members of our
management, of the effectiveness of our disclosure controls and procedures (as defined in Rule 13a-15(e) and Rule 15d-15(e) under the
Exchange Act). Based on that evaluation, our Chief Executive Officer and Chief Financial Officer concluded that our disclosure controls
and procedures were effective to provide reasonable assurance that information required to be disclosed in our reports filed or submitted
under the Exchange Act is recorded, accumulated, processed, summarized, reported and communicated on a timely basis within the time
periods specified in the Securities and Exchange Commission's rules and forms.
b. Internal Control over Financial Reporting
Our management is responsible for establishing and maintaining adequate internal control over financial reporting as defined in
Exchange Act Rule 13a-15(f). Our management conducted an evaluation of the effectiveness of our internal control over financial
reporting based on the framework and criteria established in Internal Control—Integrated Framework, issued by the Committee of
Sponsoring Organizations of the Treadway Commission. Based on this evaluation, our management concluded that our internal control
over financial reporting was effective as of July 29, 2006. During its assessment, management did not identify any material weaknesses in
our internal control over financial reporting. Our independent registered public accounting firm, Deloitte & Touche LLP, has audited our
consolidated financial statements and has issued an attestation report on management's assessment of our internal control over financial
reporting, as stated in their report included herein.
c. Changes in Internal Control over Financial Reporting
In the ordinary course of business, we routinely enhance our information systems by either upgrading our current systems or
implementing new systems. No change occurred in our internal controls over financial reporting during the quarter ended July 29, 2006
that has materially affected, or is reasonably likely to materially affect, our internal controls over financial reporting.
