3) To approve our Amended and Restated Annual
Incentive Plan and the material terms of the
performance-based compensation under the Plan for
purposes of compensation deductibility under Internal
Revenue Code Section 162(m)
4) To ratify the appointment of the independent
registered public accounting firm for fiscal 2012
5) To transact any other business that may properly
come before the annual meeting and any
adjournments of that meeting
