material factors known to the Board at the time of the determination, including a report on material pending
and threatened litigation and financial results through the end of the period immediately preceding the date
of such valuation. The amounts reported in this column were previously reported in the same column in the
Option Exercises and Stock Vested Table in our Form 10-K for the 2007 fiscal year because they
represented the value that the applicable named executive officer would have received in the Merger in
exchange for options held prior to the Merger, but which value the executive chose to roll over into the
Rollover Options that we called in 2008. Ms. Lowe also realized $130,275 not reflected in this table as a
result of our call of shares of stock that she previously purchased from us at fair market value.
