On January 27, 2005, the Corporate Governance and Nomination Committee announced its
proposal to the Annual General Meeting convening on April 7, 2005 regarding the election of the
members of the Board of Directors. The Corporate Governance and Nomination Committee will
propose to the Annual General Meeting that the number of Board members be increased from
eight to ten and that all of the present members be re-elected for a term of one year. In addition,
the Committee will propose that Mr. Dan Hesse and Mr. Edouard Michelin be elected as new
members of the Board of Directors for the same one-year term. Mr. Hesse is a member of the
Board of Directors of Terabeam Wireless, a US based telecommunications technology and services
company. Mr. Michelin is the CEO of Michelin Group, the French world-leading tire manufacturing
company.
