Experts Briefing and Seminar
The Company has arranged in-house seminars for directors
to keep them abreast of the affairs relating to the Company.
The directors are also encouraged to attend relevant
external professional programs at the Company’s expense
to keep abreast of issues facing the changing business
environment within which the Group operates.
The Company arranged experts briefing and seminar for
directors on the topics of “China-US Diplomatic and Trade
Relations” and “Risk Management and Internal Control”.
Regulatory Updates
The directors are updated on a continuing basis by
the Company Secretary on any new regulations and
guidelines, as well as any amendments thereto issued
by the Stock Exchange and other regulatory authorities,
particularly the effects of such new or amended
regulations and guidelines on directors specifically,
and the Company and the Group. During the year, the
regulatory updates covering the following topics:
Mr. Jeffrey Bader, previously the special assistant to
the president of the United States for national affairs at
the National Security Council and the principal advisor
to President Obama on Asia, was a guest speaker of
an in-house seminar on the current status of China-US
diplomatic and trade relations
Recent amendments to the Listing Rules on
connected transactions
Directors’ duties
Consultation conclusions on risk management and
internal control: review of the CG code and corporate
governance report
The Board considers the aforementioned training attended and/or participated in by the directors, and the continuing
legal updates provided to the directors, as adequate to enhance the directors’ skills and knowledge to carry out their
duties as directors. All directors are required to provide the Company with their training records on annually basis
and such records are maintained by the Company Secretary for regular review by the Nomination and Governance
Committee.
The Nomination and Governance Committee will, on a continuing basis, evaluate and determine the training needs
of the directors, particularly on relevant new laws and regulations and essential practices for effective corporate
governance, to enable the directors to sustain their active participation in Board deliberations and effectively
discharge their duties.
