1 Save As You Earn is an HMRC approved all employee savings-related share option scheme under which employees save up to a limit of £250 on a four-weekly basis via a bank/building
society with an option to buy shares in Tesco PLC at the end of a three-year or five-year period at a discount of up to 20% of the market value. Options are not subject to performance
conditions. All options are exercisable from 1 February in the year which is six years from the year of grant. All options expire six months from their exercise date (i.e. on 1 August of the
relevant year). All Directors exercised their 2005 options on 1 February 2011 when the market price was 403p. No options lapsed in the year.
