6.A Directors and Senior Management
Pursuant to the provisions of the Finnish Companies Act and our articles of association, the control
and management of Nokia is divided among the shareholders at a general meeting, the Board of
Directors and the Group Executive Board.
Board of Directors
The current members of the Board of Directors were elected at the Annual General Meeting on
April 7, 2005, in accordance with the proposal of the Corporate Governance and Nomination
Committee of the Board of Directors. On the same date, the Chairman and Vice Chairman were
elected by the members of the Board of Directors.
On August 1, 2005, we announced that the Board of Directors has released Jorma Ollila, Chairman
and CEO, upon his request, from his duties as CEO effective June 1, 2006. The Corporate Governance
and Nomination Committee of the Board of Directors will propose to the Annual General Meeting
convening on March 30, 2006 that Jorma Ollila continues after June 1, 2006 as Non-Executive
Chairman. The Committee has received Mr. Ollila’s confirmation that he is available for this
position.

President and CEO, Chairman of the Group Executive
Board of Nokia Corporation 1992-1999, President of Nokia
Mobile Phones 1990-1992, Senior Vice President, Finance
of Nokia 1986-1989. Holder of various managerial
positions at Citibank within corporate banking 1978-1985.
Member of the Board of Directors of Ford Motor Company,
Vice Chairman of the Board of Directors of UPM-Kymmene
Corporation, Vice Chairman of the Board of Directors of
Otava Books and Magazines Group Ltd. Chairman of the
Board of Directors of Royal Dutch Shell Plc from June 1,
2006. Chairman of the Boards of Directors and the
Supervisory Boards of Finnish Business and Policy Forum
EVA and The Research Institute of the Finnish Economy
ETLA. Chairman of The European Round Table of
Industrialists.
