Pursuant to Article 27 of the Company by-laws, a candidate list for the appointment of the Board of Statutory Auditors may be submitted by any
stockholder who, at the time of submission, owns, on its own or jointly with other stockholders submitting the list, an interest equal or greater than
the threshold determined by CONSOB pursuant to Article no. 147-ter, paragraph 1, of Italian Legislative Decree no. 58/1998. For 2012, the year in
which elections were held, this percentage was equal to 1% of the share capital. In the event that at the expiry of the deadline for the submission of
the lists, only one list has been submitted, or lists have been submitted by stockholders who are related to each other pursuant to the applicable
provisions, additional lists may be submitted up to four days after such date or up to the date that may be set by binding laws in force at that time. In
such case, the above thresholds set for the submission of lists are halved.
