Company, or, if stated in the notice of invitation to attend, by sending the document to the
certified e-mail address of the Company.
The proxy may also be granted to the representative appointed by the Company with voting
instructions on all or some of the proposals on the agenda in accordance with Article 135-
undecies of the Italian Consolidated Financial Law.
The Company by-laws do not provide for voting by mail.
Pursuant to Article 14 of the by-laws, the provisions of the law are applied in relation to the
validity of the composition of the meeting and the related resolutions.
During 2013 the Ordinary Meeting of Stockholders convened on April 29, 2013 to pass
resolutions on the following items on the agenda:
1. The approval of the Statutory Financial Statements for the year ended December 31, 2012.
2. The allocation of net income and distribution of dividends.
3. The adoption of the “Performance Shares Plan 2013-2017” incentive plan pursuant to
Article 114 of Legislative Decree no. 58/1998
4. An advisory vote on the first section of the remuneration report in accordance with Article
123-ter, paragraph 6 of Legislative Decree no. 58/1998.

An investor relations team, directly reporting to the Chief Executive Officer, is dedicated to
relations with the national and international financial community, with investors and analysts,
and with the market.
The Company set up a specific Investors section on its website to provide information that
may be of interest to Company stockholders and investors. Documents on corporate
