Based on reports by the Company’s transfer agent for UAL common stock, as of February 10, 2015, there were approximately 9,900 record holders of UAL
common stock and approximately 24,000 holders of UAL common stock comprised of UAL’s record holders and bankruptcy distribution holders under UAL
Corporation’s Chapter 11 plan of reorganization.
UAL did not pay any dividends in 2014 or 2013. United paid a dividend of $212 million to UAL in 2014. United did not pay any dividends in 2013. Under
the restricted payment provisions of the Company’s Credit and Guaranty Agreement, dated as of March 27, 2013 (the “Credit Agreement”), and certain
indentures, UAL’s ability to pay dividends on or repurchase UAL’s common stock is subject to limits on the amount of such payments and to certain
conditions, including that no default or event of default exists under those instruments and that after giving effect to the making of any such payments, UAL
would be in compliance with a minimum fixed charge coverage ratio. Any future determination regarding dividend or distribution payments will be at the
discretion of the UAL Board of Directors, subject to the foregoing limits and applicable limitations under Delaware law.
