STOCKHOLDER PROPOSALS FOR NEXT ANNUAL MEETING
If you want to make a proposal for consideration at next year’s annual meeting and have it included in the
Company’s proxy materials, the Company must receive your proposal by November 22, 2012, and the proposal
must comply with the rules of the SEC.
If you want to make a proposal or nominate a director for consideration at next year’s annual meeting
without having the proposal included in the Company’s proxy materials, you must comply with the then current
advance notice provisions and other requirements set forth in the Company’s Bylaws, including that the
Company must receive your proposal on or after January 23, 2013 and on or prior to February 17, 2013, with
certain exceptions if the date of next year’s annual meeting is advanced by more than 30 days or delayed by more
than 60 days from the anniversary date of the 2012 Annual Meeting.
If the Company does not receive your proposal or nomination by the appropriate deadline and in accordance
with the terms of the Company’s Bylaws, then it may not properly be brought before the 2013 Annual Meeting of
Stockholders.
The fact that the Company may not insist upon compliance with these requirements should not be construed
as a waiver by the Company of its right to do so at any time in the future.
