satisfaction of all liabilities with respect to the benefits provided under this Plan, no amendment or termination shall cause any part of the monies
contributed hereunder to revert to the Participating Companies or to be diverted to any purpose other than for the exclusive benefit of Participants
and their beneficiaries. Upon termination or partial termination of the Plan, or upon complete discontinuance of contributions, the rights of all
affected persons to benefits accrued to the date of such termination shall be nonforfeitable. Upon termination of the plan without establishment or
maintenance of another defined contribution plan (other than an employee stock ownership plan as defined in section 4975(e)(7) of the Code or a
simplified employee pension plan as defined in Section 408(k) of the Code), Accounts shall be distributed in accordance with applicable law.
Section 12.2. Merger . The Plan shall not be merged with or consolidated with, nor shall its assets be transferred to, any other qualified
retirement plan unless each Participant would receive a benefit after such merger, consolidation, or transfer (assuming the Plan then terminated)
which is of actuarial value equal to or greater than the benefit he would have received from his Account if the Plan had been terminated on the day
before such merger, consolidation, or transfer.
