NBCUniversal Capital Accumulation Plan from and after January 1, 2013 and certain other employees who are members of certain collectively
bargained units) shall be eligible to participate in this Comcast Corporation Retirement-Investment Plan (the “Plan”), subject to the eligibility
requirements set forth herein. On or about the January 1, 2013, the assets of the NBCUniversal Capital Accumulation Plan representing the
accounts of NBCUniversal, LLC employees who are eligible to participate in the Plan were transferred to the Fund. The terms and conditions of
the Plan, as set forth herein, shall generally apply to Participants who are such as a result of their employment with NBCUniversal, LLC, except to
the extent such provisions contradict with the terms and conditions set forth in Exhibit B .
Amendment and Restatement
Comcast Corporation hereby amends and restates The Comcast Corporation Retirement-Investment Plan, effective January 1, 2013,
unless stated otherwise herein, to reflect the admittance of NBCUniversal, LLC as a Participating Company, subject to receipt of an Internal
Revenue Service determination that the Plan continues to meet all applicable requirements of section 401(a) of the Code, that employer
contributions thereto remain deductible under section 404 of the Code and that the trust fund maintained with respect thereto remains tax exempt
under section 501(a) of the Code.
