(4) Amounts in columns (j) and (k) include awards granted prior to June 29, 2007. These amounts reflect the as-adjusted number of stock
options and RSUs resulting from the Separation. Specifically, the actual amount of stock options and RSUs that were originally
granted were multiplied by approximately 0.63, which was determined in accordance with the Separation and Distribution Agreement
by dividing the closing NYSE stock price of the Company’s issued and outstanding shares on June 29, 2007 by the closing NYSE stock
price of the Company’s when-issued shares on June 29, 2007.
(5) Amounts in column (l) reflect the as-adjusted exercise price of options granted prior to June 29, 2007, which were adjusted to reflect
the effects of the Separation. Such amounts are calculated by multiplying the actual NYSE closing-date market price on the referenced
date by approximately 1.59, which was determined in accordance with the Separation and Distribution Agreement by dividing the
closing NYSE stock price of the Company’s when-issued shares on June 29, 2007 by the closing NYSE stock price of the Company’s
issued and outstanding shares on June 29, 2007.
