At the Annual General Meeting: If you are planning to attend
the Annual General Meeting and wish to vote your
common shares in person, we will give you a ballot at the
meeting. Shareholders who own their common shares in
street name are not able to vote at the Annual General
Meeting unless they have a proxy, executed in their favor,
from the holder of record of their shares.
Even if you plan to be present at the Annual General Meeting,
we encourage you to complete and mail the enclosed card to
vote your common shares by proxy.
What if I return my proxy or voting Your common shares will be voted according to the
instruction card but do not mark it to show instructions you have indicated on your proxy or voting
how I am voting? instruction card. If you sign and return your proxy card or
voting instruction card but do not indicate instructions for
voting, your common shares will be voted ‘‘FOR’’ the setting
of the maximum number of directors at 12; ‘‘FOR’’ the
election of all 11 nominees to the Board of Directors named
on the proxy card; ‘‘FOR’’ the authorization of the Board of
Directors to appoint an additional director to fill the vacancy
proposed to be created on the Board of Directors, ‘‘FOR’’
proposal two and, with respect to any other matter which may
properly come before the Annual General Meeting, at the
discretion of the proxy holders.
May I change or revoke my vote after I You may change your vote in one of three ways at any time
return my proxy or voting instruction card? before it is exercised:
Notify our Secretary in writing before the Annual General
Meeting that you are revoking your proxy;
Submit another proxy card (or voting instruction card if you
hold your common shares in street name) with a later date;
or
If you are a holder of record, or a beneficial holder with a
proxy from the holder of record, vote in person at the
Annual General Meeting.
What does it mean if I receive more than It means you have multiple accounts at the transfer agent
one proxy or voting instruction card? and/or with banks and stockbrokers. Please vote all of your
common shares. Beneficial shareholders sharing an address
who are receiving multiple copies of the proxy materials,
Annual Report and Form 10-K will need to contact their
broker, bank or other nominee to request that only a single
copy of each document be mailed to all shareholders at the
shared address in the future. In addition, if you are the
beneficial owner, but not the record holder, of Tyco’s
common shares, your broker, bank or other nominee may
deliver only one copy of the Proxy Statement, Annual Report
and Form 10-K to multiple shareholders who share an
address unless that nominee has received contrary
instructions from one or more of the shareholders. Tyco will
deliver promptly, upon written or oral request, a separate
copy of the Proxy Statement, Annual Report and Form 10-K
