J.David Grissom is Chairman of Mayfair
Capital,Inc., a private investment fi rm formed by Mr.Grissom in

Trust Company, a private trust and investment management
company, since 2001. From 1973 to 1989, he held various senior
positions, including Chairman and CEO of Citizens Fidelity Bank&
Trust and Vice Chairman of its successor, PNC Financial Corp.
He served as a director of Churchill Downs Incorporated from
1979 to 2010.

the Los Angeles Times from 1998 to 2001. From 1992 to 1996,
she served as Dean of the McIntire School of Commerce at the
University of Virginia. Ms.Hill currently serves as a director of AK
Steel Holding Corporation, The Home Depot,Inc., California Water
Service Group and The Rand Corporation. She serves as the Lead
Director of the Board of Directors of The Home Depot,Inc. She
also served on the boards of Hershey Foods Corporation from

1999, Mr.Nelson served as the Vice Chairman and Chief Financial
Offi cer of National Gypsum Company. He is also a General Partner
of Wakefi eld Group, a North Carolina based venture capital fi rm.
Mr.Nelson previously worked for Morgan Stanley& Co. and in the
UnitedStates Defense Department as Assistant to the Secretary
and White House Fellow. He also serves as a Lead Director of
