and (y), with only those modifications as may be acceptable (a) to Buyer and (b) if the proposed modifications adversely affect Kodak, to Kodak,
in each case, in their sole discretion), and which order shall otherwise be substantially in the form attached as Annex I hereto.
FlashPoint ” has the meaning set forth in the Recitals.
FlashPoint Agreements ” means the FlashPoint Settlement Agreement and the FlashPoint Supplemental Settlement Agreement.
FlashPoint Disputed Patents ” means U.S. Patent Nos. 5,493,335, 5,828,406, 6,147,703, 6,292,218, 6,441,854, 6,879,342,
7,210,161, 7,453,605, 7,742,084, 7,936,391, 6,288,743; 6,542,192; and 7,508,444.
FlashPoint Settlement Agreement ” means the Patent Ownership Rights Transfer and Assignment Agreement, dated as of the date
hereof, among FlashPoint, Kodak, Buyer and Apple Inc.
FlashPoint Supplemental Settlement Agreement ” means the Stock Transfer and Release Agreement, dated as of the date hereof,
between FlashPoint and Kodak.
FlashPoint Settlement Amount ” has the meaning set forth in Section 3.1 .
Funding Commitment ” has the meaning set forth in Section 4.2(e)(i) .
Governmental Approvals ” has the meaning set forth in Section 5.5(a) .
Governmental Entity ” means any state, nation or international body or governmental organization, whether federal, state, county,
local or foreign, or multinational, including but not limited to any agency, authority, official or instrumentality of any such government or
political subdivision or any court, tribunal or arbitrator(s) of competent jurisdiction or any statutory authority.
HSR Act ” means the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, and the rules and regulations
promulgated thereunder, and any successor to such statute, rules or regulations.
Indemnified Parties ” has the meaning set forth in Section 8.5 .
Intercompany Contracts ” means any Contract, or oral agreement or arrangement, that grants a license, covenant not to sue or
other similar right or immunity, in each case with respect to the Assigned Patents, among Kodak or any Affiliate of Kodak, on the one hand, and
Kodak or any of its Affiliates, on the other hand, with respect to which no Third Party is a party.
Interests ” means all Liens, encumbrances, easements, encroachments, retentions of title, conditional sale arrangements, restrictive
covenants, licenses, rights of first offer, rights of first refusal, options or any other limitations, restrictions, or interests of any kind.
