as described above) satisfies the requirements for exemption from the $1,000,000 deduction limitation. However, we reserve the right to design programs that
recognize a full range of performance criteria important to our success, even where the compensation paid under such programs may not be deductible. The
Compensation Committee will continue to monitor the tax and other consequences of our executive compensation program as part of its primary objective of
ensuring that compensation paid to our executive officers is reasonable, performance-based and consistent with the our goals and the goals of our
stockholders.
Compensation Committee Interlocks and Insider Participation
In the year ended December 31, 2010, none of our executive officers served as a director or member of the compensation committee of another entity
whose executive officers served on the Parent Board or the Compensation Committee.
Compensation Committee Report
The members of the Compensation Committee have reviewed and discussed with management the Compensation Discussion and Analysis. Based on
their review and the discussions between members of the Compensation Committee with members of management, the members of the Compensation
Committee recommended to our board of directors that the Compensation Discussion and Analysis be included in this Annual Report on Form 10-K.
