(2) Jack Greenberg served as the chair of the compensation and succession committee during 2014 and will
continue to serve until the annual meeting.
(3) Ms. Sprieser is not standing for re-election at the 2015 Annual Meeting for Royal Ahold NV scheduled for
April. After that meeting, she will serve on one other public company board (as defined by SEC
regulations) in addition to Allstate, and two other boards.
