effect at any time during the 90-day period immediately preceding the Change of Control Date or, if more favorable to the Executive and/
or the Executive's family, as in effect at any time thereafter with respect to other Key Employees.
(e) Notwithstanding any other provisions of this Agreement to the contrary, upon termination of the Executive's employment any reason after
November 5, 2003, the Executive shall be entitled to continuation of health insurance and Travel Privileges on the same basis such benefits were provided to
the Executive on the Effective Date or, if more favorable to the Executive and/or the Executive's family, as in effect at any time thereafter with respect to the
Executive, with such benefits to continue for the life of the Executive; provided, however, that if the Executive becomes eligible for health insurance through
a subsequent employer, the Company's provision of such benefits shall be secondary to the benefit coverage of the subsequent employer.
7. Non-exclusivity of Rights.
Nothing in this Agreement shall prevent or limit the Executive's continuing or future participation in any benefit, bonus, incentive or other plans,
programs, policies or practices, provided by Group, the Company or any of its subsidiaries and for which the Executive may qualify, nor shall anything herein
limit or otherwise affect such rights as the Executive may have under any stock option, restricted stock or other agreements with Group, the Company or any
of its subsidiaries. Amounts which are vested benefits or which the Executive is otherwise entitled to receive under any Plan, policy, practice or program of
Group, the Company or any of its subsidiaries at or subsequent to the Date of Termination shall be payable in accordance with such plan, policy, practice or
program.
