B. a lump sum in cash within 30 days after the date of termination equal to the product of two (2) times the sum of (x) the Executive's annual
rate of base salary as in effect immediately prior to the date of termination, and (y) the Executive's "target bonus" under the Incentive
Plan for the year in which the date of termination occurs; and
C. in the case of compensation previously deferred by the Executive, all amounts previously deferred (together with any accrued interest
thereon) and not yet paid by the Company, and any accrued vacation pay not yet paid by the Company; and
D. if such termination should occur prior to November 5, 2003, continuation of health insurance on the same basis such benefits were
provided to the Executive on the Effective Date, or, if more favorable to the Executive and/or the Executive's family, as in effect at any
time thereafter with respect to the Executive, with such benefits to continue for the life of the Executive; provided, however, that if the
Executive becomes eligible for health insurance through a subsequent employer, the Company's provision of such benefits shall be
secondary to the benefit coverage of the subsequent employer.
(2) If, during the Employment Period and on and after a Change of Control Date, the Company shall terminate the Executive's employment other
than for Cause, Disability, or death or if the Executive shall terminate his employment for Good Reason:
(i) the Company shall pay to the Executive in a lump sum in cash within 30 days after the Date of Termination the aggregate of the following
amounts:
A. to the extent not theretofore paid, the Executive's Highest Base Salary through the Date of Termination; and
