rate in effect on the Date of Termination, disregarding any reduction in Base Salary in violation of this Agreement (the "Highest Base Salary"),
(2) the product of the Annual Bonus paid to the Executive for the last full fiscal year and a fraction, the numerator of which is the number of days
in the current fiscal year through the Date of Termination, and the denominator of which is 365 and (3) any compensation previously deferred by
the Executive (together with any accrued interest thereon) and not yet paid by the Company and any accrued vacation pay not yet paid by the
Company (such amounts specified in clauses (1) through (3)) are hereinafter referred to as "Accrued Obligations" and such amounts specified in
clauses (1) and (3) are hereinafter referred to as "Termination Obligations"). Anything in this Agreement to the contrary notwithstanding, the
Executive's family shall be entitled to receive benefits in accordance with the most favorable plans, programs, practices and policies of the
Company and its subsidiaries in effect during the 90-day period immediately preceding the Change of Control Date, or if more favorable to the
Executive and/or the Executive's family, as in effect at any time thereafter with respect to other Key Employees.
(ii) If the Executive's employment is terminated by reason of the Executive's death other than during the Change of Control Period, this Agreement
shall terminate without further obligations to the Executive's legal representatives under this Agreement other than the Termination Obligations.
