(2) any material and substantial diminution in the Executive's position, authority, duties or responsibilities as contemplated by Section 4(a)(i)
of this Agreement, or any other action by the Company which results in a material and substantial diminution in such position, authority,
duties or responsibilities, excluding for this purpose an isolated, insubstantial and inadvertent action not taken in bad faith and which is
remedied by the Company promptly after receipt of notice thereof given by the Executive;
(3) any demotion of the Executive to a position lower than Senior Vice President; or
(4) any failure by the Company to comply with and satisfy Section 11(c) of this Agreement, and
(ii) with respect to the termination of the Executive's employment during the Change of Control Period:
(1) the assignment to the Executive of any duties inconsistent in any respect with Executive's position (including status, offices, titles and
reporting relationships), authority, duties or responsibilities as contemplated by Section 4(a)(ii) or (iii) of this Agreement, or any other
action by the Company which results in a diminution in such position, authority, duties or responsibilities, excluding for this purpose an
isolated, insubstantial and inadvertent action not taken in bad faith and which is remedied by the Company promptly after receipt of
notice thereof given by the Executive;
(2) (x) any failure by the Company to comply with any of the provisions of Section 4(b) of this Agreement, other than an isolated,
insubstantial and inadvertent failure not occurring in bad faith and which is remedied by the Company promptly after receipt of notice
thereof given by the Executive or (y) any failure of the Company to pay Base Salary or Annual Bonus in accordance with Sections 4(b)(i)
and (ii), respectively, and any failure by the Company to maintain or provide the plans, programs, policies and practices, and benefits
described in Sections 4(b)(iii) - (vii)
