continuing (the "Disability Effective Date"), provided that, within the 90 days after such receipt, the Executive shall not have returned to full-time
performance of the Executive's duties. For purposes of this Agreement, "Disability" means disability which, at least six months after its commencement, is
determined to be total and permanent by a physician selected by the Company or its insurers and acceptable to the Executive or the Executive's legal
representative (such agreement as to acceptability not to be withheld unreasonably). During such six month period and until the Disability Effective Date,
Executive shall be entitled to all compensation provided for under Section 4 hereof, to the extent applicable.
(c) Cause. During the Employment Period, the Company may terminate the Executive's employment for "Cause." For purposes of this Agreement,
"Cause" means (1) a reasonable good faith determination by the Company that the Executive engaged in an act or acts of personal dishonesty intended to
result in substantial personal enrichment of the Executive at the expense of the Company, (2) repeated violations by the Executive of the Executive's
obligations under Section 4(a) of this Agreement which are demonstrably willful and deliberate on the Executive's part and which are not remedied in a
reasonable period of time after receipt of written notice from the Company or (3) the conviction of the Executive of a felony.
(d) Good Reason. During the Employment Period, the Executive's employment hereunder may be terminated by the Executive for Good Reason. For
purposes of this Agreement, "Good Reason" means:
(i) with respect to the termination of the Executive's employment other than during the Change of Control Period:
(1) any reduction by the Company of the Executive's rate of base salary, as in effect on the Effective Date or as the same may be increased
from time to time;
