On December 8, 2008, TWC filed an Information Statement pursuant to Section 14(c) of the Securities Exchange
Act with the SEC and furnished it to its stockholders. The amendments to TWC’s 2006 Stock Incentive Plan will not
become effective until certain conditions set forth in the Separation Agreement have been satisfied or waived.
