1. The actual number of Final Awards of fully paid ordinary shares will range from 0% to 150% of the Base Awards and is contingent on the Achievements against Targets
over the two-year performance periods relating to the relevant awards.
2. The actual number of Final Awards of fully paid ordinary shares will range from 0% to 200% of the Base Awards and is contingent on the Achievements against Targets
over the three-year performance periods relating to the relevant awards.
3. The Awards of fully-paid ordinary shares will vest at the end of three years from the date of the grant of the award. At the end of the vesting period, an additional final
award will be vested equal to the Base Award multiplied by the accumulated dividend yield (based on the sum of SIA share dividend yields declared with ex-dividend
dates occurring during the vesting period).
Except as disclosed in this statement, no other Director who held oice at the end of the financial year had interests in shares, share options,
awards or debentures of the Company, or of related corporations, either at the beginning of the financial year, or date of appointment if later,
or at the end of the financial year.
There were no changes in any of the above-mentioned interests between the end of the financial year and 21 April 2016.
4 Equity Compensation Plans of the Company
The Company has in place (or previously had in place) the SIA Employee Share Option Plan (“ESOP”), the SIA Restricted Share Plan (“RSP”), the
SIA Restricted Share Plan 2014 (“RSP 2014”), the SIA Performance Share Plan (“PSP”) and the SIA Performance Share Plan 2014 (“PSP 2014”).
At the date of this statement, the Board Compensation & Industrial Relations Committee which administers the ESOP, RSP, RSP 2014, PSP and
PSP 2014 comprises the following Directors:
