2.03 Vesting
(a) A Participant shall be vested in, and have a nonforfeitable right to, the benefit payable under this Article II to the same
extent as the Participant is vested in his or her Accrued Benefit (as that term is defined in the Retirement Plan) under
the provisions of the Retirement Plan.
(b) Notwithstanding any provision of this Plan to the contrary, in the event of a Change of Control, all Participants and their
Beneficiaries shall become fully vested in the benefits provided under this Plan.
2.04 Payment of Benefits
(a) Benefits That Commenced Prior to January 1, 2009
Except as otherwise provided in Section 2.05, in accordance with transition rules promulgated by the Internal Revenue
Service under Section 409A of the Code, benefits payable with respect to Plan participants that commenced prior to
January 1, 2009 shall continue to be payable in accordance with the Plan provisions in effect at the time that those
benefits commenced, under which Plan benefits are payable in accordance with the form, frequency and duration of
benefit payments under the Retirement Plan.
(b) Benefit Commencement Date on or After January 1, 2009
Except as otherwise provided in Section 2.05, in the event of a Participant's retirement or other termination of
employment with the Company on or after January 1, 2009, or in the event of the commencement of vested benefits
with respect to a Participant
