ITEMS OF BUSINESS: 1) To elect as directors the 7 nominees listed in the
accompanying proxy statement;
2) To hold an advisory vote on named executive officer
compensation;
3) To hold an advisory vote on the frequency of holding
future advisory votes on named executive officer
executive compensation;
4) To ratify the appointment of the independent
registered public accounting firm for fiscal 2011; and
5) To transact any other business that may properly
come before the annual meeting and any
adjournments of that meeting.
