beneficially owns 3,298,774,821 shares (or 50.9%) of our common stock, and they disclaim beneficial
ownership of the shares owned by Liberty Media and its affiliates.

Based solely upon a review of reports filed pursuant to Section 16(a) of the Exchange Act and written
representations furnished to us during our most recent fiscal year, we know of no director, executive officer or
beneficial owner of more than ten percent of our common stock who failed to file on a timely basis reports of
beneficial ownership of our common stock as required by Section 16(a) of the Exchange Act, as amended, other
than a late filing of a Form 3 by Mr. Stephen Cook, our Executive Vice President, Sales and Automotive, as a
result of his failure to disclose certain shares of common stock held by him upon his appointment as an executive
officer and a late filing of a Form 5 by Carl Vogel, a director, as a result of his failure to disclose a gift of certain
shares of common stock held by him.
