Effective as of September 23, 2008, we dismissed Ernst & Young LLP as our independent auditors. This
action was approved by the Audit Committee of our board of directors.
The reports of Ernst & Young on our financial statements for the fiscal year ended December 31, 2007
did not contain an adverse opinion or disclaimer of opinion and were not qualified or modified as to
uncertainty, audit scope or accounting principles.
During the years ended December 31, 2007 and through September 23, 2008, there were no disagree-
ments with Ernst & Young on any matter of accounting principles or practices, financial statement disclosure,
or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of Ernst & Young,
would have caused it to make reference to the subject matter of the disagreements in connection with its
report, nor were there any “reportable events” as such term is described in Item 304(a)(1)(v) of Regulation S-K,
promulgated under the Securities Exchange Act of 1934, as amended.
We requested Ernst & Young to review the disclosures contained in the preceding two paragraphs and
asked Ernst & Young to furnish us with a letter addressed to the SEC stating whether it agreed with those
statements contained herein. We filed a copy of Ernst & Young’s letter as an exhibit to a Current Report on
Form 8-K dated September 25, 2008.
The board of directors unanimously recommends a vote “FOR” the ratification of KPMG LLP as
our independent registered public accountants for 2010.
