2012 Summary Compensation Table
The table below sets forth certain information regarding the compensation that TripAdvisor’s former
Chairman and Senior Executive, President and Chief Executive Officer, Senior Vice President, Chief Financial
Officer, Chief Accounting Officer and Treasurer and Senior Vice President, General Counsel and Secretary
earned during the fiscal years ended December 31, 2012 and 2011. Prior to December 20, 2011, TripAdvisor was
a wholly-owned subsidiary of Expedia, with Expedia as its sole stockholder. This table includes all compensation
received from Expedia for services performed in 2011 for those named executive officers who devoted
substantially all of their efforts to TripAdvisor’s businesses prior to December 20, 2011.
