director who was not a director at the beginning of such period shall be deemed to be an Incumbent Director if such
director (A) was elected to the Board by, or on the recommendation of or with the approval of, at least two-thirds of the
directors who then qualified as Incumbent Directors either actually or by prior operation of this clause (v), and (B) was
not designated by a Person who has entered into an agreement with the Corporation to effect a transaction described in
clause (iii) or (iv).
1.08Code shall mean the Internal Revenue Code of 1986, as amended from time to time.
1.09Committee shall mean the Pension Administration Committee under the Retirement Plan.
1.10Company shall mean Hartford Fire or any successor by merger, purchase or otherwise with respect to its employees and any other
Employer (as that term is defined in the Retirement Plan) authorized by the Board of Directors to participate in the Plan
with respect to its employees.
1.11Company Pension Plan shall mean any tax qualified defined benefit plan other than the Retirement Plan maintained by the
Corporation, the Company, an Associated Company, New ITT or one of its associated companies, or ITT Industries or one
its associated companies.
1.12Corporation (the “Plan sponsor”) shall mean The Hartford Financial Services Group, Inc. or any successor by merger, purchase
or otherwise. The Hartford Financial Services Group, Inc. is the sponsor of the Plan.
1.13Deferred Compensation Program shall mean any nonqualified deferred compensation plan maintained by the Corporation, the
Company, an Associated Company, New ITT or one of its associated companies, or ITT Industries or one of its associated
companies.
